These terms govern your use of the Metaplaxio website and provide the default framework for services we provide. Signed statements of work, master service agreements, and proposals take precedence where they conflict with this page.
Agreement
By accessing this website or engaging Metaplaxio Inc. ("Metaplaxio", "we", "us"), you agree to these terms. If you are entering an agreement on behalf of a company, you confirm that you have authority to bind that company.
If you do not agree to these terms, do not use the site or the services. If you are a consumer, nothing in these terms removes rights you have under mandatory consumer protection law.
Services
Metaplaxio provides web engineering, generative engine optimization (GEO/AEO), performance marketing, and related growth services. The specific scope, deliverables, timeline, and fees for an engagement are set out in a proposal or statement of work.
Unless expressly stated in a signed document, we do not guarantee a particular ranking, citation, traffic volume, conversion rate, revenue outcome, or platform approval. Search and advertising platforms change their systems without notice, and results depend on factors outside our control.
We may use subcontractors or specialist partners to deliver part of the work. We remain responsible for their contribution and require them to meet equivalent confidentiality and data protection obligations.
Proposals and fees
- Proposals are valid for 30 days unless stated otherwise.
- Retainers are invoiced monthly in advance. Project work may be invoiced on a milestone basis as set out in the statement of work.
- Media spend is billed to the client's own advertising accounts and is not included in retainer fees unless expressly stated.
- Third-party costs — software licences, stock assets, travel, and platform fees — are passed through at cost with prior approval.
- Invoices are payable within 15 days of issue unless the statement of work says otherwise.
- Late payments may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. We may pause work on overdue accounts after written notice.
- Fees are exclusive of applicable taxes, including GST. Taxes are added where required.
If scope changes materially, we will issue a revised estimate before proceeding. Work outside the agreed scope is billed at our then-current rate or as a separate statement of work.
Client responsibilities
To deliver the work, we need timely access to the people, systems, and information involved. You agree to:
- Provide accurate brand, product, and pricing information, and notify us of changes.
- Grant the access needed for analytics, ad accounts, CMS, hosting, and CRM systems.
- Nominate a decision-maker who can approve deliverables within agreed review windows.
- Ensure you have the rights to any content, data, or creative you supply.
- Comply with the advertising, privacy, and consumer protection laws that apply to your business.
- Maintain the security of credentials you share and revoke access when it is no longer needed.
Delays caused by missing access, approvals, or information may shift timelines and, where they require rescheduling, may incur additional fees.
Intellectual property
Upon full payment, you own the deliverables we create specifically for you under a statement of work — final designs, copy, code, and campaign assets — excluding our pre-existing materials.
We retain ownership of our methodologies, frameworks, internal tools, templates, component libraries, and know-how, including anything developed before the engagement or independently of it. Where those materials are embedded in a deliverable, we grant you a perpetual, non-exclusive licence to use them as part of that deliverable.
Unless you ask us not to, we may reference the engagement in our portfolio and case studies after launch. We will seek approval for any confidential detail, metric, or client quote before publishing.
The Metaplaxio name, logo, and site content are our property. You may not use them without written permission, except to identify us as a service provider.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform the agreement, protect it with reasonable care, and disclose it only to team members and contractors who need to know.
Confidential information does not include information that is public, independently developed, received from a third party without restriction, or required to be disclosed by law. If disclosure is legally required, the receiving party will give prompt notice where permitted and limit the disclosure to what is required.
These obligations survive termination for three years, and indefinitely for trade secrets.
Third-party services
Our work may depend on third-party platforms: hosting, analytics, ad networks, CRMs, AI providers, and content tools. Their terms, availability, pricing, and data practices are outside our control.
We are not responsible for outages, policy changes, account suspensions, or feature removals on third-party platforms, though we will make reasonable efforts to mitigate the impact and adapt the work. You are responsible for maintaining your own accounts and complying with each platform's terms.
Warranties and disclaimers
We warrant that the services will be performed with reasonable skill and care, in line with the statement of work and applicable professional standards.
To the maximum extent permitted by law, the website and services are otherwise provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the site will be free of bugs, that third-party platforms will remain available, or that any particular commercial result will be achieved.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
Our total aggregate liability arising from or relating to an engagement is limited to the fees paid by you to us under the applicable statement of work in the twelve months preceding the claim.
These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality, or any liability that cannot be limited by law.
Term and termination
Retainer engagements have an initial term of 90 days unless the statement of work says otherwise. After the initial term, either party may terminate with 30 days' written notice.
Either party may terminate immediately for material breach that remains uncured 14 days after written notice, or if the other party becomes insolvent or ceases to operate. We may suspend services if invoices remain unpaid 30 days after the due date.
On termination, you pay for work performed and third-party costs incurred up to the effective date. We will provide the deliverables and access handover reasonably requested, subject to payment. Clauses that by their nature should survive — including intellectual property, confidentiality, liability, and governing law — survive termination.
Governing law
These terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim in your local courts.
Before starting formal proceedings, the parties will attempt in good faith to resolve the dispute through senior representatives for 30 days. This does not prevent either party from seeking urgent injunctive relief.
Changes to these terms
We may update these terms to reflect changes in law, our services, or how we operate. The updated date at the top of the page shows when the change took effect. Changes do not retroactively alter a signed statement of work; the version in effect at signing continues to govern that engagement unless both parties agree otherwise.
